1. Agreement to these terms

These Terms of Service ("Terms") are a contract between ManufacturERP Ltd, a company registered in England and Wales under company number 17391200, registered office at 3 West Lane, Baildon, Shipley BD17 5HD ("we," "us," "ManufacturERP") and the company or individual registering for an account ("you," "your company," or "tenant"). By creating an account or using ManufacturERP you agree to these Terms, and to our Privacy Policy, which is incorporated by reference. If you're accepting these Terms on behalf of a company, you confirm you're authorised to bind that company.

2. The service

ManufacturERP is a subscription manufacturing ERP platform providing CRM, sales orders, manufacturing scheduling, inventory/bill-of-materials, purchasing, shipping, accounts/invoicing, and staff management tools, accessed online. ManufacturERP is business software — it's intended for use by manufacturing businesses and their staff, not consumers, and you must be at least 18 to create an account.

3. Accounts & staff access

The person who first registers a tenant becomes its tenant admin and can invite staff, assign each of them a role (Management, Finance, HR, Sales, Workshop, or Buyer), and control what each role can see and do. You're responsible for:

  • keeping your staff's login credentials confidential, and for all activity under your account;
  • removing access promptly when someone leaves or changes role;
  • the accuracy of the data your company enters into the system.

4. Free trial, plans & pricing

New tenants get a 14-day free trial with no card required. Every feature is included on every plan — we don't gate features by tier. Current pricing (shown ex-VAT; UK VAT added at the prevailing rate) is published at manufacturerp.co.uk/pricing and forms part of these Terms. We'll give at least 30 days' notice by email before any price change takes effect for an existing subscription.

5. Billing & payment

Subscriptions are billed monthly in advance via Direct Debit through GoCardless, our payment processor, based on your seat count at the time of billing. Adding seats takes effect immediately (pro-rated); removing seats takes effect from your next billing cycle. You can manage your subscription, update payment details, or cancel at any time from Organisation Settings → Billing — cancellation takes effect at the end of your current billing period, and we don't offer refunds for the unused portion of a billing period except where required by law.

If a payment fails and isn't resolved within a reasonable period after we notify you, we may suspend access to your account until it's brought current.

6. Your data

You own all data you or your staff enter into ManufacturERP, including your customers' details, orders, invoices, and everything else stored under your tenant. We claim no ownership over it. You're responsible for having a lawful basis to hold and process your own customers' personal data, and for your own privacy policy governing how you use it — ManufacturERP only ever processes it on your instructions, as your data processor (see Section 8).

You can export your customer data at any time from within the CRM. You can request full account closure from Organisation Settings → Danger Zone at any time — see Section 14 for what happens next.

7. Optional third-party integrations

ManufacturERP can optionally connect to third-party bookkeeping software (Xero, QuickBooks Online, Sage) and personal calendar accounts (Google Calendar, Outlook) if you or your staff choose to set this up. These connections are between your (or your staff member's) own account with that provider and our servers. We aren't responsible for the availability, accuracy, or acts of those third-party services, and your use of them is also governed by their own terms. You can disconnect any of these at any time.

8. Data processing terms

Where we process personal data on your behalf as your data processor (in particular, your customers' personal data stored in your tenant), the following applies, reflecting UK GDPR Article 28:

  • Instructions. We process that data only to provide the service to you and as otherwise instructed by you in writing, and will tell you if we believe an instruction breaches data protection law.
  • Confidentiality. Anyone we allow to access the data is under a duty of confidentiality.
  • Sub-processors. We use the sub-processors listed in our Privacy Policy (Section 6), each bound by data protection terms at least as protective as these. We'll give you reasonable notice before adding a new sub-processor, and you may object on reasonable data-protection grounds.
  • Security. We maintain appropriate technical and organisational measures, including per-tenant data isolation, role-based access control, and encryption of sensitive credentials at rest.
  • Assistance. We'll reasonably assist you in responding to data subject requests (access, erasure, portability, etc.) concerning data you control.
  • Breach notification. We'll notify you without undue delay if we become aware of a personal data breach affecting your data.
  • Deletion on termination. On termination of your account, we delete your data per Section 14, save for what we're required to retain by law.
  • International transfers. Any transfer of personal data outside the UK is made subject to appropriate safeguards as described in our Privacy Policy.

9. Acceptable use

You agree not to:

  • use ManufacturERP for anything unlawful, or to store data you don't have the right to hold;
  • attempt to access another tenant's data, or circumvent role-based access controls;
  • reverse-engineer, decompile, or attempt to extract the source code of the service, except to the extent the law says we can't stop you;
  • use the service in a way that could disrupt or overburden our infrastructure, or probe/scan it for vulnerabilities without our prior written permission;
  • resell or provide the service to third parties as your own product, without our written agreement.

10. Intellectual property

We (or our licensors) own all rights in the ManufacturERP software, including its design, code, and branding. Subject to these Terms and your subscription remaining active, we grant you a non-exclusive, non-transferable licence to use it for your own business's internal purposes. Content you upload for white-labelling (your logo, brand colours) remains yours; you grant us a licence to display it back to you and your customers as part of providing the service.

11. White-labelling & your own domain

If you configure a custom domain, sending email domain, logo, or brand colours, you're responsible for the content shown under your own branding to your customers (e.g. via the public order-tracking page), and for making sure you have the rights to any logo or branding you upload.

12. Service availability & disclaimer of warranties

We aim to keep ManufacturERP available and reliable, but we don't guarantee it will be uninterrupted or error-free, and we may need to suspend access for maintenance from time to time. Except as expressly stated in these Terms, the service is provided "as is," and we exclude all implied warranties to the fullest extent the law allows.

13. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be excluded under English law. Subject to that, our total liability to you arising out of or in connection with these Terms, however it arises, is capped at the total fees you paid us in the 12 months before the claim arose, and we aren't liable for indirect or consequential losses, or for loss of profits, revenue, or data.

14. Termination

You can request account closure at any time from Organisation Settings → Danger Zone. This only records your request — nothing is deleted immediately. Once we've confirmed the request directly with you, we permanently delete your tenant's data (typically within 30 days), except for records we're legally required to retain. Export anything you want to keep before requesting closure.

We may suspend or terminate your account if you materially breach these Terms (including non-payment) and don't remedy it within a reasonable period after we notify you, or immediately if needed to protect the security or integrity of the service or other tenants' data.

15. Indemnity

You agree to indemnify us against claims arising from data you've stored in ManufacturERP without the right to do so, or from your breach of these Terms or applicable law, to the extent caused by you.

16. Changes to these terms

We may update these Terms from time to time; the "last updated" date above reflects the latest version. We'll notify tenant admins by email of any material change, and continued use after it takes effect means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
